1. Acceptance of Terms

By accessing or using the website automate-cnc.com (the "Site") and the services provided by Automate Shanghai Technology ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Site or services.

2. Description of Services

Automate Shanghai Technology provides precision CNC machining services including, but not limited to:

  • CNC milling (3-axis, 4-axis, and 5-axis)
  • CNC turning and mill-turn
  • Wire EDM and sinker EDM
  • Surface grinding and cylindrical grinding
  • Surface finishing and post-processing
  • Quality inspection and measurement

All services are subject to availability and acceptance of a formal quotation. Submitting a Request for Quote (RFQ) does not constitute a binding order.

3. Quotations and Orders

3.1 Request for Quote

You may submit an RFQ through our website, email, or other communication channels. To receive an accurate quotation, you should provide:

  • Complete technical drawings (2D/3D CAD files preferred)
  • Material specifications
  • Required quantity
  • Surface finish and tolerance requirements
  • Any special processing or inspection requirements

3.2 Quotation Validity

All quotations are valid for 30 days from the date of issue unless otherwise stated. Prices are subject to change based on material cost fluctuations, design modifications, or quantity changes.

3.3 Order Acceptance

An order is considered accepted only when we issue a written order confirmation. Any modifications to an accepted order may result in changes to pricing, lead time, or both, and require our written approval.

4. Pricing and Payment

4.1 Pricing

All prices are quoted in USD unless otherwise specified. Prices are EXW (Ex Works) Shanghai, unless a different Incoterm is agreed upon in writing. Prices do not include applicable taxes, duties, freight, or insurance unless explicitly stated.

4.2 Payment Terms

  • For new customers: 50% deposit upon order confirmation, 50% balance before shipment
  • For established customers: Net 30 days upon invoice receipt, subject to credit approval
  • Tooling and setup fees (if applicable) are charged upfront and are non-refundable

We accept payment via wire transfer (T/T), PayPal, and other methods as agreed. All bank charges and transfer fees are the responsibility of the customer.

5. Lead Times and Delivery

Lead times are estimated based on current production capacity and are provided for planning purposes only. Actual delivery dates may vary due to:

  • Material availability
  • Design complexity and tolerance requirements
  • Current shop load and scheduling
  • Changes to order specifications after confirmation
  • Force majeure events

We will make commercially reasonable efforts to meet agreed delivery dates but shall not be liable for delays beyond our reasonable control.

6. Quality and Inspection

6.1 Quality Standards

All parts are manufactured and inspected in accordance with the specifications provided in your drawings and purchase order. If no specific tolerance is stated, we apply general tolerance standards (ISO 2768-mK or equivalent).

6.2 Inspection Reports

Dimensional inspection reports (CMM data) and material certificates are available upon request and will be provided with shipment. Additional inspection requirements should be specified at the time of order.

6.3 Customer Inspection

You must inspect all delivered parts within 10 business days of receipt. Any defects or non-conformities must be reported in writing with supporting documentation (photos, measurement data). Failure to report within this period constitutes acceptance of the parts.

7. Intellectual Property and Confidentiality

7.1 Customer IP

All drawings, designs, specifications, and technical data provided by you remain your intellectual property. We will not use, copy, or disclose your IP to third parties except as necessary to fulfill your order.

7.2 Non-Disclosure

We treat all customer information as confidential. Upon request, we are willing to execute a Non-Disclosure Agreement (NDA) before any technical data is shared. All employees and manufacturing partners are bound by confidentiality obligations.

7.3 Manufacturing Data

Tool paths, CNC programs, fixtures, and other manufacturing data developed by us for your project remain our property unless otherwise agreed in writing.

8. Warranty and Liability

8.1 Warranty

We warrant that all parts will conform to the specifications in your approved drawings and purchase order. If any parts are found to be non-conforming, we will, at our option:

  • Re-manufacture the non-conforming parts at no additional charge
  • Provide a full refund for the non-conforming parts

This warranty does not cover defects caused by customer-supplied materials, designs, or specifications, or by misuse, modification, or improper handling after delivery.

8.2 Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising from or related to our services shall not exceed the total amount paid by you for the specific order in question. We shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, production downtime, or recall costs.

9. Returns and Cancellations

9.1 Cancellations

Orders may be cancelled only with our written consent. If cancellation is accepted, you will be responsible for:

  • All work completed up to the cancellation date
  • Materials purchased specifically for your order
  • Tooling and setup costs incurred
  • A reasonable cancellation fee to cover committed resources

9.2 Returns

Custom-manufactured parts cannot be returned unless they are non-conforming to the agreed specifications. Return of non-conforming parts must be pre-authorized in writing.

10. Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to: natural disasters, war, terrorism, riots, pandemics, government actions, labor disputes, power failures, transportation disruptions, or material shortages. The affected party shall notify the other party promptly and use reasonable efforts to mitigate the impact.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any dispute arising out of or in connection with these Terms shall be resolved through:

  • First: Good faith negotiation between the parties
  • Second: Mediation through a mutually agreed mediator
  • Final: Arbitration administered by the Shanghai International Economic and Trade Arbitration Commission (SHIAC), with proceedings conducted in English

12. Website Use

By using our website, you agree not to:

  • Use the Site for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any portion of the Site or its systems
  • Interfere with or disrupt the Site's functionality or servers
  • Upload files containing viruses, malware, or other harmful code
  • Copy, distribute, or modify any content from the Site without our written permission
  • Use automated tools (bots, scrapers) to access the Site without authorization

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective when posted on the Site with an updated "Last updated" date. Your continued use of the Site after any changes constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
